Davison Law prevails on its Rule 12(b)(6) Motion to Dismiss all claims with prejudice in the Business Litigation Session.

August 27, 2022

In this dispute among members of a closely-held Massachusetts corporation, plaintiff alleged that he was the sole owner of corporate shares issued jointly to him and his wife. The Court found that our client, plaintiff’s wife, had a present joint ownership and interest in the shares, and dismissed husband’s claim to sole ownership of the shares with prejudice. The Court further found that the Irrevocable Trust that husband and wife created to hold title to certain corporate shares was a valid Trust, rejecting husband’s claim that the Trust was never established.
